1. Agreement to these terms
These Terms of Use ("Terms") govern your access to and use of factor4giftcard.com (the "Site"), operated by Factor4, LLC ("Factor4," "we," "us"), 620 Parkway Drive, Suite 4, Broomall, PA 19008. By using the Site, you agree to these Terms. If you do not agree, do not use the Site. Our Privacy Policy explains how we handle information collected through the Site and is incorporated into these Terms by reference.
2. The Site is informational
The Site describes Factor4's gift card, eGift, and loyalty products and services and provides general educational content for merchants. The Site itself does not sell services, create a merchant account, or form a service agreement. Factor4's gift card and loyalty services are provided under separate written agreements between Factor4 and each merchant. If there is any conflict between these Terms and a signed merchant agreement, the merchant agreement controls for the services it covers.
3. No legal, accounting, or tax advice
Content on the Site — including the Gift Card Laws by State pages, information about escheatment, unclaimed property, expiration rules, breakage, and revenue recognition — is a plain-language summary provided for general information only. It is not legal, accounting, or tax advice, and it may not reflect the most recent changes in law. Laws vary by state and change over time. You should confirm your obligations with your own attorney or accountant in every state where you sell gift cards before acting on anything published on the Site. Your use of this content does not create an attorney-client, accountant-client, or advisory relationship with Factor4.
4. Estimates, calculators, and statistics
The Site includes tools such as the gift card ROI calculator, along with statistics and case-study results. Calculator outputs are estimates based on the inputs you provide and published industry assumptions; they are illustrative only and are not a promise, forecast, or guarantee of revenue, savings, breakage, overspend, or any other result. Case-study results describe specific merchants' experiences and do not guarantee similar outcomes. Accounting treatment of gift card revenue and breakage is subject to applicable standards, including ASC 606, and should be reviewed with your accountant.
5. Acceptable use
You agree not to: (a) use the Site in violation of any law; (b) scrape, harvest, or bulk-download Site content or data other than through ordinary search-engine indexing; (c) interfere with the Site's operation or security; (d) submit forms with false, misleading, or third-party information without authorization; or (e) use the Site to develop a competing product or marketing materials that misrepresent Factor4.
6. Intellectual property
The Site and its content — including text, page designs, graphics, tables, tools, and the Factor4 and RewardOS names and logos — are owned by Factor4 or its licensors and are protected by copyright and trademark law. You may view, share links to, and print Site pages for your internal business evaluation. Any other reproduction or use requires our prior written permission.
7. Third-party names and trademarks
Toast, Clover, Square, Shopify, Lightspeed, Epos Now, GoTab, Heartland, Oracle, MICROS, Simphony, Linga, Focus POS, Dejavoo, PAX, Valor PayTech, Verifone, Datacap, and other point-of-sale, terminal, and software names referenced on the Site are trademarks of their respective owners. They are used only to identify compatibility, integrations, or comparisons. Unless expressly stated, no reference implies sponsorship, endorsement, or affiliation. Integration availability, features, and third-party pricing described on the Site may change; confirm current details with us before making a purchase decision.
8. Forms and communications
When you submit a quote, demo, or contact form, you represent that the information is accurate and that you are authorized to provide it, and you agree that Factor4 may contact you about your request by phone or email at the contact details you provide. Consent to marketing communications is handled as described in our Privacy Policy, and you may opt out at any time.
9. Third-party links
The Site links to third-party websites (for example, state statutes, POS vendor marketplaces, and partner sites). We do not control and are not responsible for their content, accuracy, or practices.
10. Disclaimer of warranties
THE SITE AND ALL CONTENT AND TOOLS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT SITE CONTENT, INCLUDING LEGAL SUMMARIES AND CALCULATOR OUTPUTS, IS CURRENT OR ERROR-FREE.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, FACTOR4 AND ITS OWNERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST REVENUE, OR BUSINESS DECISIONS MADE IN RELIANCE ON SITE CONTENT, ARISING FROM YOUR USE OF THE SITE. OUR TOTAL LIABILITY ARISING FROM YOUR USE OF THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). THIS SECTION DOES NOT LIMIT LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, AND IT DOES NOT APPLY TO SERVICES PROVIDED UNDER A SIGNED MERCHANT AGREEMENT, WHICH ARE GOVERNED BY THAT AGREEMENT.
12. Indemnification
You agree to indemnify and hold Factor4 harmless from claims and costs (including reasonable attorneys' fees) arising from your misuse of the Site or violation of these Terms.
13. Governing law
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law rules. Any dispute arising from these Terms or the Site will be resolved in the state or federal courts located in Pennsylvania, and you consent to their jurisdiction. 14. Changes
We may update these Terms from time to time. The effective date above reflects the latest version, and continued use of the Site after changes take effect constitutes acceptance.
